Terms of Service

1. Service Description

Dealgo provides a Governance-as-a-Service platform for AI agents. The service evaluates agent actions through a deterministic governance pipeline and returns verdict decisions (APPROVE, DENY, DELAY, or ESCALATE_FOUNDER). The service maintains a tamper-evident audit chain of all governance decisions.

2. Account Terms

  • You must provide a valid GitHub account for authentication
  • You are responsible for maintaining the security of your API keys
  • You must not share API keys or attempt to circumvent rate limits
  • You must not use the service to facilitate illegal activities
  • One person or entity per account — no shared accounts

3. Usage Limits

Each subscription tier includes a monthly evaluation quota. Requests exceeding your quota will receive HTTP 429 responses. Quota usage resets on the first of each calendar month (UTC).

  • Free: 1,000 evaluations/month, 1 agent
  • Pro: 50,000 evaluations/month, 25 agents
  • Enterprise: Unlimited evaluations, unlimited agents

4. Governance Decisions

Dealgo provides governance evaluation as an infrastructure service. Governance verdicts are deterministic outputs of the configured policy pipeline. Dealgo does not guarantee that governance decisions will prevent all harmful agent actions. The service is a governance layer, not a complete safety solution. You remain responsible for your agents' behavior.

5. Audit Chain Integrity

We maintain HMAC-SHA256 hash-chained audit logs for all governance decisions. We do not modify, delete, or alter audit records within the retention period. Audit chain integrity is verifiable by the customer at any time via the API or Dealgo Dashboard.

6. Uptime & Availability

Pro tier includes a 99.9% uptime SLA. Enterprise tier SLAs are defined in individual service agreements. Free tier is provided on a best-effort basis with no uptime guarantee. Scheduled maintenance windows will be announced at least 24 hours in advance.

7. Payment Terms

Paid subscriptions are billed monthly or annually through Stripe. Failed payments will result in a 7-day grace period before account downgrade to the Free tier. You may cancel at any time — access continues through the end of the current billing period.

8. Acceptable Use

You must not:

  • Attempt to bypass, disable, or circumvent governance enforcement
  • Use the service to evaluate actions that violate applicable law
  • Reverse-engineer the governance pipeline to find approval exploits
  • Submit intentionally malformed requests to degrade service quality
  • Resell API access without a written reseller agreement

9. Intellectual Property

The Dealgo kernel is open-source under the MIT License. The hosted service, Dealgo Dashboard, and proprietary modules (including certain proprietary capsule configurations) are proprietary. Your governance data and audit logs remain your property.

10. Termination

Either party may terminate the agreement at any time. Upon termination, you may request a full export of your governance data and audit logs within 30 days. After 30 days, data will be deleted in accordance with our retention policy.

11. Limitation of Liability

Dealgo provides governance infrastructure on an “as is” basis. We are not liable for decisions made by your AI agents, whether or not those decisions were evaluated by the governance pipeline. Our total liability is limited to the fees paid in the 12 months preceding the claim.

12. Changes to Terms

We will notify registered users of material changes via email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
